committees of clause49.com (whether online
or offline), will not be in any way responsible
towards either the director aspirant or
the corporate for bringing them together
to form a relationship as director-corporate.
Clause49.com is just a facilitator or
a matchmaker between a director aspirant
and a corporate by taking all reasonable
precautions, safeguards of standard nature.
The intention of clause49.com will always
be to screen the prospective director
aspirants and the corporates as well before
showcasing them for each other. It will
however be not possible nor is it intent
to verify each and every entries genuineness
of submissions, documents and details.
It is therefore advised to both the director
aspirant and the corporates to go into
the detailed verification check of each
other before entering into any contractual
obligation.
It is important to note specially for
the director aspirants that the directorship
in a company invites certain obligations,
risks & responsibilities under the
provisions of relevant statutes more particularly
the companies Act 1956, the SEBI regulations,
the Stock Exchange regulations and some
of the provisions of various Labour laws
such as PF, ESIC, Contract Labour, Industrial
Safety act and also the India Penal Court
hence a proper legal consultation must
be done before becoming a Director.
